CHARTER OF THE LAKE JULIETTE SAILING CLUB NAME - The name of this un-incorporated club shall be the Lake Juliette Sailing Club and herein referred to as "The Club" PURPOSE - The principal purpose of the "The Club" is to promote the sport of sailing, fellowship, and boating safety among sailboat owners and enthusiasts alike. "The Club" is structured primarily to serve the needs and desires of its members who regularly participate in sailing trailerable type boats, family sailing events, socials events and regattas. "The Club" may also assist new members in getting acquainted with the sport of sailing in any way reasonable and appropriate. Youth sailing programs and one design fleets will be encouraged. MEMBERSHIP- Anyone is eligible for membership who is interested in sailing. Boat ownership is not required. Two types of membership are available.
Application shall be made through the membership chairman. One member in good standing shall endorse applications. Membership shall take effect immediately upon dues payment. Family membership will apply to a family unit with all minors residing at the same address having full membership rights except voting as noted under voting section. Youth members shall consist of those persons less than 18 years of age interested in boating, who are not dependents of active. They cannot vote or hold office and must have written approval from a parent or guardian to join. Rights of members - No member per se shall have any claim, right or title or interest in any property or assets of "The Club". Membership may be terminated by:
New members joining "The Club" after August 1st will be required to pay only 1/2 the amount of yearly dues. OFFICERS - "The Club" officers shall consist of:
The above club officers shall be elected by a majority vote at a regularly scheduled election meeting. If for any reason any of the above officers must be replaced, the remaining officers and Executive Committee shall nominate a replacement for confirmation by a majority of the membership vote at the next regular meeting. The Commodore shall serve no more than two (2) consecutive term in office. Offices shall change at the election meeting when the results of the vote are announced. EXECUTIVE COMMITTEE - The Executive Committee shall consist of the Elected Officers, the past Commodore and one or more of the following:
The above positions (with exception of Past Commodore and Fleet Captains) will be selected by the officers. Volunteers will be encouraged. One individual may hold more than one of these positions and club officers may also hold these positions. One Design Fleets will provide "The Club" with a Fleet Captain and will elect/select other officers as required to conduct fleet business. VOTING - Family membership resides as a family unit. Voting shall be on the basis of one vote per adult. Minor dependents have no vote. Youth members cannot vote. Anyone with membership rights may vote. Proxy votes will be accepted on a once per voting event basis with written affirmation from the absentee. Attending voting members may only place one proxy vote with their own vote. DUTIES - It shall be the duty of the Commodore to command the squadron, to preside at all club meetings, to fill a vacancy in any office of the Club until an election can be held, to appoint all committees (except as are otherwise provided for) and to enforce the laws and regulations. He shall be ex-officio member of all committees. He shall nominate a committee to propose officers for the following year. It shall be the duty of the Vice-Commodore to assist the Commodore in the discharge of his duties and, in his absence, to act as Commodore. In the absence of the Flag officers, a senior member as designated by the Commodore shall act as Commodore. It shall be the duty of the Secretary to keep full records of the proceedings of each meeting; to have the custody of all reports and documents connected with the business of the Club; to give all notices of meetings and in the case of special meetings, to designate the business intended; to notify members of their election to office and their appointment to serve on Committees; to conduct the correspondence of the Club. It shall also be the duty of the Treasurer to have custody of the funds of the Club and to pay all the bills as authorized by the Executive Committee. It shall be the duty of the Rudder Editor/Membership chair to keep a correct roll of the members and yachts of the Club; to notify each member-elect and his sponsor of his election and furnish him with a club roster for the current year; and to prepare and have printed a roster of membership. The Executive Committee shall have control and management of all Club property and funds and approve the nominating committee. A quorum of the Executive Committee for the transaction of business shall consist of a majority of members. MEETINGS - Unless notified otherwise, regular monthly Club meetings will be held at a prearranged location on the third Tuesday of each month. The election/annual meeting will take place during the month of January at a prearranged time and place. Called club meetings may be scheduled by the Commodore by notifying the membership at least 10 days in advance. Executive Committee Meetings shall be scheduled at the discretion of the Commodore. Club business may be conducted at any of the regularly monthly, annual, or called meetings provided a quorum consisting of a majority of the membership is present. In the absence of a quorum, the Executive Committee may conduct business, provided a quorum of the committee is present. In case of disputes as to order and debate, Roberts' Rules of Order, newly revised shall govern. CHANGES TO CHARTER - The Charter may be revised at the annual election meeting by endorsement from the outgoing officers and a majority vote by the membership. |
